1. Services Provided
Precision Point Accounting offers a range of accounting services, including but not limited to bookkeeping, tax preparation and planning, payroll management, and financial consulting. Services provided will be specified in the service agreement or engagement letter between Precision Point Accounting and the client ("you," "your").
2. Client Responsibilities
Accurate Information: You agree to provide accurate, complete, and current information necessary for the provision of services. Precision Point Accounting is not liable for any inaccuracies in the information provided by you.
Timely Cooperation: Timely provision of requested documents, access, and responses is essential for effective service delivery. Delays on your part may impact our ability to meet deadlines or produce accurate results.
Compliance: You are responsible for your compliance with applicable tax, financial, and legal obligations. Precision Point Accounting will provide guidance; however, final responsibility for compliance rests with you.
3. Payment Terms
Fees: Fees for our services are based on the scope and complexity of work provided. All fees will be outlined in the initial engagement agreement.
Payment Schedule: Payment terms, including due dates, will be defined in the engagement letter. We reserve the right to suspend or terminate services for late or unpaid fees.
Refunds: Precision Point Accounting does not offer refunds on completed services unless stated otherwise in the engagement agreement. Any request for adjustments will be reviewed on a case-by-case basis.
4. Confidentiality and Data Security
Precision Point Accounting is committed to maintaining the confidentiality of client information. We use industry-standard security measures to protect your data. However, despite these measures, we cannot guarantee complete security. By using our services, you acknowledge and accept these security risks.
5. Limitations of Liability
Service Quality: While we make every effort to provide accurate and reliable services, Precision Point Accounting cannot be held liable for any errors arising from incorrect or incomplete information provided by the client.
Indirect Damages: Precision Point Accounting is not responsible for indirect, incidental, special, or consequential damages arising from the use of our services, including lost profits, data loss, or third-party claims.
Cumulative Liability: Our cumulative liability for any claims arising from these Terms or our services will not exceed the amount paid by you to Precision Point Accounting within the 12-month period preceding the claim.
6. Termination of Services
Either party may terminate the engagement at any time by providing written notice to the other party. Upon termination, all fees for services rendered up to the termination date will remain due. Precision Point Accounting reserves the right to suspend or discontinue services if payment terms are not met or if we deem it necessary to protect our business interests.
7. Intellectual Property
All materials, methodologies, software, and systems used by Precision Point Accounting in the course of providing services are our exclusive intellectual property. You may not copy, distribute, or create derivative works from our proprietary materials without our express written permission.
8. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through good-faith negotiation. If a resolution cannot be reached, disputes will be submitted to mediation. If mediation is unsuccessful, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. 9. Disclaimer of Warranties
Precision Point Accounting provides services on an "as is" and "as available" basis. We do not make any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement. You assume all responsibility for your use of our services.
